Terms of Service

1. Agreement and operator

These Terms of Service form a binding agreement between you and Northpin INC (“Northpin,” “we,” “us,” or “our”). “Shotwisp” means our websites, dashboards, APIs, upload and sharing tools, rendering services, and related features. By creating an account, using an API key, purchasing a plan, or otherwise using Shotwisp, you agree to these Terms, our Acceptable Use Policy, and the policies incorporated here by reference. If you use Shotwisp for an organization, you represent that you can bind that organization.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter this agreement. Account information must be accurate and kept current. You are responsible for activity under your account and API keys, for using unique credentials, and for promptly notifying us through the contact form if you suspect unauthorized access. You may not share, sell, or transfer an account in a way that defeats plan limits or security controls.

3. The service and shared links

Shotwisp lets users upload images, create link-addressable files, capture public web pages as images or PDFs, and automate these functions through an API. A share link is not a private vault: anyone who obtains the link may be able to view or download its content. You are responsible for choosing an appropriate expiry and deciding who receives a link.

Anonymous links expire within 24 hours. Free-account upload links may expire no later than 30 days. Paid accounts may create links without a scheduled expiry while paid access remains active. If paid access ends, formerly permanent links may enter a 30-day grace period and then be deleted. Links with an expiry you selected keep that expiry. We may also remove content as required by law, these Terms, or the Acceptable Use Policy.

4. Your content and permissions

You retain your rights in images, URLs, files, instructions, and other material you submit (“Your Content”). You grant Northpin a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and delete Your Content only as reasonably necessary to operate, secure, support, and improve Shotwisp, comply with law, and enforce these Terms. This license ends when the content is deleted, subject to temporary backups and legal retention duties.

You represent that you have every permission needed to submit, capture, process, and share Your Content and that doing so does not violate law or another person’s rights. Do not submit passwords, secret tokens, private dashboard URLs, regulated data, or confidential content unless you are authorized and have determined Shotwisp is appropriate for that data.

5. Plans, billing, and overages

Plan features, quotas, and prices are shown on the pricing page or at checkout. Paid subscriptions renew automatically for the stated billing period until canceled. Stripe processes payments and may require its own terms. You authorize the applicable recurring charges, taxes, and any overages you expressly enable. Usage measurements made by our systems govern quota and overage calculations unless clearly erroneous.

You may cancel through the billing portal. Cancellation normally takes effect at the end of the current paid period. Except where law requires otherwise, fees already paid and usage-based charges already incurred are non-refundable. We may change future prices with advance notice appropriate to the change; a new price will not apply retroactively to a completed billing period.

6. APIs and fair use

Keep API keys confidential and use the documented authentication, formats, and limits. Do not bypass quotas, rate limits, security checks, or metering; create excessive concurrent work; resell access without permission; or use the service in a way that harms other users. We may throttle or reject requests to protect availability, security, and third parties.

7. Third-party services and content

Shotwisp relies on third-party infrastructure and may link to or render third-party websites. We do not control, endorse, or assume responsibility for third-party content, availability, terms, or privacy practices. Your use of Google, GitHub, Stripe, or another third-party service is also governed by that provider’s terms.

8. Northpin intellectual property

Shotwisp, its software, design, documentation, branding, and all related intellectual property—excluding Your Content and third-party materials—are owned by Northpin or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use Shotwisp under these Terms. No other rights are granted.

9. Suspension and termination

You may stop using Shotwisp or delete your account at any time. We may suspend, restrict, or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to pay amounts due, or materially harmed the service or another person. When practical, we will give notice and a chance to cure. We may act immediately for urgent abuse, security, legal, or safety concerns.

On termination, your right to use Shotwisp ends. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute terms—remain in effect.

10. Service changes and availability

We may add, change, suspend, or discontinue features. We aim to operate a reliable service, but do not promise uninterrupted or error-free access, permanent storage, or that every third-party page can be captured. Keep your own copies of important content and do not use Shotwisp as your only backup.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOTWISP IS PROVIDED “AS IS” AND “AS AVAILABLE.” NORTHPIN DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHPIN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. NORTHPIN’S TOTAL LIABILITY ARISING OUT OF SHOTWISP OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID NORTHPIN FOR SHOTWISP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

13. Indemnity

To the extent permitted by law, you will defend and indemnify Northpin from third-party claims, damages, and reasonable costs arising from Your Content, your misuse of Shotwisp, or your material violation of these Terms or another person’s rights. This does not apply to the extent a claim was caused by Northpin’s own misconduct.

14. Governing rules and disputes

These Terms are governed by the laws applicable where Northpin INC is established, without regard to conflict-of-law principles, while preserving any mandatory consumer protections that apply where you live. Before filing a formal claim, each party agrees to try in good faith for 30 days to resolve it by written notice through our contact channel. A dispute that cannot be resolved may be brought in a court with lawful jurisdiction over the parties and claim. These Terms do not require arbitration or waive a right that cannot lawfully be waived.

15. General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. A delay in enforcement is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, reorganization, financing, or sale of the relevant business. These Terms and incorporated policies are the complete agreement about Shotwisp and supersede prior agreements on the same subject.

16. Changes and contact

We may update these Terms. We will change the effective date and, for a material change, provide reasonable notice through Shotwisp or the email tied to your account. Continued use after an updated version takes effect means you accept it; if you do not agree, stop using Shotwisp and cancel your plan.
